padding_top=&#8221;50&#8243; padding_bottom=&#8221;0&#8243;][vc_column][vc_column_text css=&#8221;&#8221;]<strong><u>Scope<\/u><\/strong><\/p>\n<p style=\"text-align: justify;\">The Policy is applicable to all categories of Company Affiliates including FCCL\u2019s Board members, Management and Employees and External Associates such as Contractors, Sub-contractors, Vendors, Consultants and other Business Partners etc.<\/p>\n<p style=\"text-align: left;\">The Policy covers following concerns for reporting by whistle blowers: &#8211;<\/p>\n<p>[\/vc_column_text][vc_separator type=&#8221;transparent&#8221; up=&#8221;15&#8243; down=&#8221;10&#8243;]<div class=\"q_icon_list\"><i class=\"qode_icon_font_awesome fa fa-check-circle-o qode-ili-icon-holder circle\" style=\"\" ><\/i><p style=\"font-size: 16px;font-weight: 400;\">Conduct by anyone, which is an offence, breach of law or failure to comply with legal obligations<\/p><\/div><div class=\"q_icon_list\"><i class=\"qode_icon_font_awesome fa fa-check-circle-o qode-ili-icon-holder circle\" style=\"\" ><\/i><p style=\"font-size: 16px;font-weight: 400;\">Violation or non-compliance of Company\u2019s policies &amp; procedures<\/p><\/div><div class=\"q_icon_list\"><i class=\"qode_icon_font_awesome fa fa-check-circle-o qode-ili-icon-holder circle\" style=\"\" ><\/i><p style=\"font-size: 16px;font-weight: 400;\">Health and safety risks, including risks to the public as well as other employees<\/p><\/div><div class=\"q_icon_list\"><i class=\"qode_icon_font_awesome fa fa-check-circle-o qode-ili-icon-holder circle\" style=\"\" ><\/i><p style=\"font-size: 16px;font-weight: 400;\">Damage to the environment, Company assets and corporate image<\/p><\/div><div class=\"q_icon_list\"><i class=\"qode_icon_font_awesome fa fa-check-circle-o qode-ili-icon-holder circle\" style=\"\" ><\/i><p style=\"font-size: 16px;font-weight: 400;\">Possible fraud, corruption, incorrect financial reporting with mala-fide intentions<\/p><\/div><div class=\"q_icon_list\"><i class=\"qode_icon_font_awesome fa fa-check-circle-o qode-ili-icon-holder circle\" style=\"\" ><\/i><p style=\"font-size: 16px;font-weight: 400;\">Illegal use of sensitive Company data<\/p><\/div><div class=\"q_icon_list\"><i class=\"qode_icon_font_awesome fa fa-check-circle-o qode-ili-icon-holder circle\" style=\"\" ><\/i><p style=\"font-size: 16px;font-weight: 400;\">Actions which are unprofessional, unethical, inappropriate or are in conflict with a general understanding of what is right<\/p><\/div><div class=\"q_icon_list\"><i class=\"qode_icon_font_awesome fa fa-check-circle-o qode-ili-icon-holder circle\" style=\"\" ><\/i><p style=\"font-size: 16px;font-weight: 400;\">Workplace harassment<\/p><\/div><div class=\"q_icon_list\"><i class=\"qode_icon_font_awesome fa fa-check-circle-o qode-ili-icon-holder circle\" style=\"\" ><\/i><p style=\"font-size: 16px;font-weight: 400;\">Unauthorized use or access to Company property<\/p><\/div><div class=\"q_icon_list\"><i class=\"qode_icon_font_awesome fa fa-check-circle-o qode-ili-icon-holder circle\" style=\"\" ><\/i><p style=\"font-size: 16px;font-weight: 400;\">Insider trading<\/p><\/div><div class=\"q_icon_list\"><i class=\"qode_icon_font_awesome fa fa-check-circle-o qode-ili-icon-holder circle\" style=\"\" ><\/i><p style=\"font-size: 16px;font-weight: 400;\">Non-adherence to the principles of FCCL\u2019s Code of Conduct<\/p><\/div>[\/vc_column][\/vc_row][vc_row css_animation=&#8221;&#8221; z_index=&#8221;&#8221; background_color=&#8221;#FFFFFF&#8221; padding_top=&#8221;20&#8243; padding_bottom=&#8221;30&#8243;][vc_column][vc_column_text css=&#8221;&#8221;]<strong><u>Objectives<\/u><\/strong><\/p>\n<ul>\n<li>To cultivate a culture of transparency, fairness and accountability within FCCL and to enable individuals to report illegal, unethical or non-compliant activities confidentially and without fear of retaliation.<\/li>\n<li>It fulfills compliance requirements under SECP guidelines and supports internal governance.<\/li>\n<li>This policy also fulfills compliance obligations under the Code of Corporate Governance issued by SECP.<\/li>\n<\/ul>\n<p>[\/vc_column_text][vc_separator type=&#8221;transparent&#8221; up=&#8221;15&#8243; down=&#8221;10&#8243;][vc_column_text css=&#8221;&#8221;]<strong><u>Policy Statement\/ Provisions\u00a0<\/u><\/strong><\/p>\n<p>FCCL encourages employees and associates to report actual or suspected misconduct through defined secure channels.<\/p>\n<ul>\n<li>All disclosures will be handled with confidentiality and neutrality<\/li>\n<li>Retaliation against whistle-blowers is strictly prohibited<\/li>\n<li>This policy affirms FCCL\u2019s zero-tolerance approach to misconduct and ensures that concerns are addressed professionally and lawfully<\/li>\n<\/ul>\n<p>[\/vc_column_text][vc_separator type=&#8221;transparent&#8221; up=&#8221;15&#8243; down=&#8221;10&#8243;][vc_column_text css=&#8221;&#8221;]<strong><u>Roles and Responsibilities<\/u><\/strong>[\/vc_column_text][vc_accordion active_tab=&#8221;false&#8221; collapsible=&#8221;yes&#8221; style=&#8221;accordion&#8221;][vc_accordion_tab title=&#8221;Whistle-Blowing Committee (Sub-committee of Executives):&#8221;][vc_column_text css=&#8221;&#8221;]<\/p>\n<p style=\"text-align: justify;\">The Whistle-Blowing Committee shall serve a supervisory and oversight role in the implementation of this policy. It makes sure that all reported concerns are handled fairly, kept confidential, and comply with legal requirements. Routine or low-level concerns will be handled by the designated investigator, while sensitive or high-impact cases may be directly managed by the Committee, which can recommend further action to the Managing Director or, through the HR &amp; R Committee, to the Board.<\/p>\n<p>[\/vc_column_text][vc_separator type=&#8221;transparent&#8221; up=&#8221;15&#8243; down=&#8221;10&#8243;][vc_column_text css=&#8221;&#8221;]A Committee comprising relevant executive members shall be formed as under: &#8211;<\/p>\n<ol>\n<li style=\"list-style-type: none;\">\n<ol>\n<li style=\"list-style-type: none;\">\n<ol>\n<li>Company Secretary (Chair).<\/li>\n<li>Chief Financial Officer (CFO).<\/li>\n<li>Director HR&amp;A.<\/li>\n<li>Head of Internal Audit.<\/li>\n<li>Co-opted Member (head of relevant Department, if required).<\/li>\n<\/ol>\n<\/li>\n<\/ol>\n<\/li>\n<\/ol>\n<p>[\/vc_column_text][\/vc_accordion_tab][vc_accordion_tab title=&#8221;Human Resource Department:&#8221;][vc_column_text css=&#8221;&#8221;]<\/p>\n<ul>\n<li>Ensure company-wide communication of the policy.<\/li>\n<li>Protect whistle-blowers from retaliation.<\/li>\n<\/ul>\n<p>[\/vc_column_text][\/vc_accordion_tab][vc_accordion_tab title=&#8221;Internal Audit&#8221;][vc_column_text css=&#8221;&#8221;]<\/p>\n<p style=\"text-align: justify;\">The Internal Audit function shall support the Whistle-Blowing Committee in policy implementation and monitoring. Any instance of retaliation against a whistle-blower will be reported to the Managing Director, who may take immediate interim measures as necessary. The matter shall then be escalated to the Audit Committee for formal review and further action if necessary.<\/p>\n<p>[\/vc_column_text][vc_separator type=&#8221;transparent&#8221; up=&#8221;15&#8243; down=&#8221;10&#8243;][vc_column_text css=&#8221;&#8221;]<strong>Confidentiality and Data Protection <\/strong><\/p>\n<ul>\n<li style=\"list-style-type: none;\">\n<ul>\n<li>Identity of whistle-blower is protected internally, unless external legal disclosure is required. Data will be handled in compliance with the relevant laws<\/li>\n<li>Whistle-blower Committee is not allowed to disclose internal concerns to any of the external bodies unless the concern raised involves legal provisions or disclosure is required by law<\/li>\n<\/ul>\n<\/li>\n<\/ul>\n<p>[\/vc_column_text][vc_separator type=&#8221;transparent&#8221; up=&#8221;15&#8243;
